TERMS AND CONDITIONS OF ONLINE BOOKING OF "EXPERIENCES"

1. Introduction

These terms and conditions of online booking (“Online Booking Terms”) set out the terms and conditions that will apply to your use of the online booking system for our experiences through the website www.ruffino.it (the "Ruffino Site"). The Ruffino Site is owned and operated by Ruffino S.r.l., a company under the direction and coordination of Constellation Brands Inc., with registered office in Piazzale Ruffino 1, Pontassieve (Florence) — Italy, VAT number 02067051207, company Register Number FI-529344, e-mail address: info@ruffino.it, tel + 39 055 83605 ("Ruffino ", "we", "us" or "our"). Under these Terms of Reservation “User”, “you”, “your” and similar terms, both singular and plural, refer to you, the User.

 

Please note, these Online Booking Terms may have changed since you last reviewed them.

 

Please note that these Online Booking Terms do not apply and do not govern other services available on the website https://wineclub.ruffino.it (the "Wine Club Site" and together with the Ruffino Site, the "Websites"), and are solely applicable in relation to your online booking of experiences with us.

 

Please read these Online Booking Terms carefully before making a reservation on the Ruffino Site. By confirming that you have read and accepted these Online Booking Terms when you submit a reservation through the Ruffino Site, you confirm your acceptance of the Terms. Please save or print a copy of these Terms for your future use.

 

Please note that your use of the Ruffino Site is also subject to the Websites Terms of Use, available here https://www.ruffino.it/it/pages/terms-of-use, the Privacy Policy available here https://www.ruffino.it/pages/privacy-policy and the Cookie Policy, available here https://www.ruffino.it/pages/cookies-policy. Additional terms and conditions may apply where the User has subscribed to the Wine Club Sections on our Websites. Further additional terms and conditions may apply on certain experiences (for example, in case of group reservation, reservation more than two months in advance or of tailored experiences, as well as of possible other experience that require the Users to contact hospitality@ruffino.it). These terms, if applicable, will be made available to you before you conclude  your reservation for these experiences.

 

These Online Booking Terms may be amended from time to time and without prior notice (unless the changes made will be significant or onerous for you), including due to new laws and regulations or other reasons in our sole discretion (for more information on the reasons from which changes may derive please see Section 11 of our Terms of Use). The new terms shall be effective as of the date of publication on the Ruffino Site. The new terms will not affect reservation already submitted by you, and such reservations will be subject to the Online Booking Terms in force as at the time your reservation was made. If you do not agree with the Online Booking Terms in force at the moment you decide to make a reservation on the Ruffino Site, you must not proceed with the reservation. Please print and/or store a copy of the current Terms of Reservation applicable to your orders for future reference.

 

2. Experience details and Reservation procedure

Ruffino offers different types of experiences. The experiences’ details, durations and availabilities are described on the Ruffino Site, together with the relevant prices. Prices for tailored experiences (including cooking classes) or other experiences that cannot be reserved through the Ruffino Site are calculated on a case-by-case basis and communicated to the User via email or telephone. Currently, experiences that can be reserved online are tasting, guided tour of our vinery and meals at the restaurant, as better detailed on the Ruffino site here https://www.ruffino.it/pages/cantina-ruffino. Please note that certain experiences (e.g. Tre Rane restaurant reservation) may be reserved through third parties' reservation platform (e.g. The Fork). In this case the reservation will be subject to the third party's terms and conditions of service and Ruffino may not be considered liable for any misuse of the third party's reservation platform.   

 

In order to book an experience on the Ruffino Site you confirm that you are at least 18 years of age. Ruffino reserves the right to ask for appropriate proof of age before sending the Reservation Confirmation (as defined below). You are responsible for maintaining the confidentiality of your email and restricting access to your passwords and accounts. You agree to accept responsibility for all reservation and activities that occur under your account.

 

To use the Ruffino Site services and make experiences’ online reservations Users must choose among the experiences described on the Ruffino Site and that can be reserved online, indicate the number of persons that will take part to the experience (please note that online reservation is available for group up to 12 people), choose among the experience languages and dates available and fill-in the relevant form indicating name, surname, e-mail address, phone number, date, selected experience and number of people. During the reservation phase, Users will be required to provide true and complete data.

 

To make a reservation for groups of more than 12 people and for tailored experiences, Users must contact hospitality@ruffino.it. Tailored experience and other experiences that cannot be booked online may be subject to additional or different terms and conditions, which will be emailed to you at the time you contact us by email or telephone.

 

Each reservation request sent through the Ruffino Site constitutes a binding offer from you for the reservation of the relevant experience. Reservations are subject to availabilities and acceptance by Ruffino. We may, at any time and at our sole discretion, refuse to accept your reservation where we have reasons to believe that you provided us with: (i) incorrect information; (ii) insufficient information; or (iii) fraudulent information. We may also not accept the reservation if there is an error on the Ruffino Site relating to the experience for which you are making a reservation, for example an error relating to the price or description of the experience as displayed on the Ruffino Site;  or if the experience that you have ordered is no longer available through the Ruffino Site; or if we believe that you are under legal age.

 

The User must select the experience and complete the reservation form available on the Ruffino Site following the instructions available for each experience. To complete the reservation process and submit the reservation request you will have to confirm your reservation at the end of the reservation check-out page and confirm your acceptance of these Online Booking Terms. To submit the reservation request you will have to select the "BOOK NOW AND PAY AT THE FACILITY" button. Please note that no payment will be requested at the time of reservation (for more information please see Section 4 below), however a credit card number is required to guarantee the reservation. Payment will be made directly at the facility the day of the visit.

In case of cancellation, we kindly ask the User to notify us in advance by sending an email to hospitality@ruffino.it or calling +39 055 6499750. For cancellations communicated up to 48 hours before the visit, no charge will be applied. For cancellations beyond this period and for no-shows, 100% of the booked experience price will be charged to the credit card provided at the time of booking. Please read Section 6 below for more information on our cancellation policy.

 

Alternatively, it is possible to submit a reservation request by email at the address hospitality@ruffino.it. Depending on the type of experience, additional or different terms of reservation may apply. We will provide you a copy of the relevant terms via email before the conclusion of the reservation.

 

If we are unable to accept your reservation request, including for any of the reasons listed above, we will contact you at the e-mail address or telephone number that you have provided to us, as soon as possible and in any case no later than 24 hours from the date of your reservation request. After you have submitted the reservation form through the Ruffino Site or by email, you will receive an e-mail from us confirming your reservation ("Reservation Confirmation"). At this time a contract between us and you is concluded.

 

If you do not receive the Reservation Confirmation email within 48 hours of submitting the reservation form, contact us at +39 3783050219 or by e-mail at hospitality@ruffino.it before submitting a new reservation form for the same experience.

 

English is the language used for executing contracts with us. Other local translations may be available depending on the territories. In case of any discrepancy among different language versions, the local language version or, if not available, the English version shall prevail.

3. Experiences availability and prices

We will make all reasonable efforts to ensure that the prices and other information about experiences displayed on the Ruffino Site are accurate and constantly updated. However, the inclusion of any experiences on the Ruffino Site does not imply or guarantee that the experience will be available at the time you submit your reservation form. Photos and images of services or products are indicative and may not constitute an exact representation of the experiences. Ruffino will do its best to present the characteristics of the experiences with the greatest possible degree of detail on the Websites.

 

Prices are inclusive of VAT or other sales taxes, where applicable. Any other taxes and duties – if applicable are itemized on the order check-out page and in the Reservation Confirmation.

 

We will have the right, at any time and without previous notice, to make changes to the information about experiences displayed on the Websites, including without limitation information about prices. Discounts or reductions of prices will be clearly stated on the Ruffino Site, together with the indication of the previous price. Changes will not however affect the price, availability or description of any experience for which you received the Reservation Confirmation.

4. Terms of payment

Payment of experiences reserved on the Ruffino Site can only be made directly at Ruffino’s premises, as indicated on Ruffino Website’s check-out page, before the start of the experience. Payment must be made in Euros. Please be advised that we are not responsible for any extra charges imposed by your credit card issuer or by your bank you may sustain as a result of this payment at our premises.

 

You will become liable for full payment of the price of the experience reserved from the point you receive the Reservation Confirmation, subject to your rights to withdraw from the reservation contract and cancel the experience in accordance with Section 6 of these Online Booking Terms. As soon as you receive the Reservation Confirmation, you will become responsible for the payment of the reserved experience’s price and we reserve to claim loss or damages that are caused to us for any experience you reserved whose price is not paid by you.

 

We cannot be held responsible for errors (e.g. number of people or dates or choice of experience) due to inaccuracies or incompleteness in filling in the reservation order by the User.

 

The User who makes the reservation through the Ruffino Site declares and guarantees that the person who will have the experience reserved is of age according to the applicable legislation.

 

5. Resale of experiences

The resale or transfer for commercial or professional reasons of reservation made on the Ruffino Site is strictly forbidden. We reserve the right to refuse to accept your reservation, if we suspect that you intend to transfer your reservation.

 

6.  Right of withdrawal

You can withdraw from the reservation contract and cancel your reservation at any time and free of charge until 48 hours before the date of the experience reserved online. You have no right of withdrawal and you cannot cancel your reservation if you book your experience in the 48 hours before the date of the experience reserved online: if you cancel your reservation in the 48 hours before the date of experience reserved online or if you  do not show up on the day of reservation, 100% of the visit amount will be charged to the credit card provided at the time of booking.

 

To withdraw from the reservation contract  and cancel your reservation, you shall contact us at the number/email indicated under the Contact Us Section as soon as practicable, or alternatively you can use the following model withdrawal form, which is, however, not mandatory:

Please always remember to indicate your Reservation Confirmation’s details when you contact us to withdraw from the reservation contract and for your reservation cancellation.

 

Please note that we reserve the right to cancel your reservation in the event of any events beyond our control (such as power outages, pandemics, epidemics, acts of God or workers’ strikes).  We will contact you as soon as possible if such an event occurs. As long as we do this, we won't compensate you for the cancellation or otherwise incur liability for cancelling the experience, but you can contact us at hospitality@ruffino.it to end the contract and receive a refund for any experiences you have paid for in advance but not attended.

 

7. Privacy policy

8. Transfer of the contract

Nobody else has any rights under this contract. This contract is between you and us. Nobody else can enforce it and neither of us will need to ask anybody else to sign-off on ending or changing it.

 

Notwithstanding the above, Ruffino reserves the right to transfer, assign, dispose by novation or subcontract all or some of the rights or obligations deriving from these Online Booking Terms and the contract concluded with the User, provided that the User's rights herein are not affected. If you do not agree or are not happy with the transfer or assignment you are entitled to withdraw from the contract without any penalty. In this case we will reimburse you the price of the experience you have paid for in advance, less reasonable costs we have already incurred.

 

Users are not allowed to assign or transfer in any way their rights or obligations under these Online Booking Terms or any contract without the written authorization of Ruffino.

 

9. Our liability to you

Nothing in these Online Booking Terms will exclude or limit our liability to you for fraud, intent or gross negligence, death or personal injury caused by our negligence, breach of terms regarding title implied under any Consumer law or regulation or any other liability which the applicable laws state may not be excluded or limited.

 

Where we (or our subsidiaries, affiliates, representatives, agents, officers, directors and employees) are found liable to you, you shall only be entitled to recover actual and direct damages (together with any recoverable costs or expenses) equalling the price of the experience you have reserved (and for which you have a valid Reservation Confirmation for).

11. Ineffectiveness and partial nullity

Should any clause of these Online Booking Terms prove to be null, invalid or ineffective, the aforementioned clause will be eliminated while the remaining clauses will not be conditioned by this and will remain fully effective.

 

12. Governing law and competent court

For members having residence in the European Economic Area and Switzerland 

These terms and conditions shall be governed by and will be interpreted in accordance with the laws of Italy; it being understood that if you are resident in a different Country, the mandatory rules of your Country of residence, in particular those of consumer protection, will still apply, irrespective of the applicable law of this document. Any dispute concerning the interpretation and/or execution and/or termination of these terms and conditions will be subject to the jurisdiction of the court of residence or domicile of the member.

 

For members having residence in UK

These terms are governed by English law and wherever you live you can bring claims against Ruffino in the English courts. If you live in Wales, Scotland or Northern Ireland, you can also bring claims against Ruffino in the courts of the country you live in. Ruffino can claim against you in the courts of the country you live in.

 

Mandatory consumer information on dispute resolution (for EU countries only)

Consumer information pursuant to Regulation (EU) No. 524/2013: Please note that for the purpose of settling consumer disputes out of court, the European Commission has established a platform for online dispute resolution (ODR). The ODR platform can be accessed at http://ec.europa.eu/consumers/odr/.

 

Consumer information pursuant to the Consumer law on dispute resolution for consumers: You acknowledge that we have no obligation to participate in any dispute resolution proceedings before a consumer arbitration panel.

 

For members having residence in Germany

Consumer information pursuant to the German Consumer Dispute Resolution Act (VSBG):  Ruffino is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
